We are looking to hire a new Legal Governance Associate based in Malta.
Reporting to the Chief Legal Officer, the Legal Governance Associate will play a critical role in ensuring that the company adheres to all legal and regulatory requirements related to corporate governance. The successful candidate will collaborate with various departments to develop and implement policies and procedures that promote transparency, accountability, and compliance with applicable laws and regulations. As part of the below listed responsibilities, the Legal Governance Associate will sit as the Company Secretary for all Group Subsidiary and Affiliated Companies.
🚀 Key Responsibilities:
- Develop, implement, and maintain corporate governance policies and procedures in accordance with relevant laws, regulations, and best practices.
- Monitor and analyze changes in corporate governance laws and regulations, advising senior management on potential impacts to the company.
- Coordinate with internal and external auditors to ensure compliance with audit requirements and facilitate resolution of audit findings related to corporate governance.
- Provide guidance and training to employees on corporate governance matters, including ethics, conflicts of interest, and whistleblower policies.
- Serve as a liaison between the company and regulatory agencies, ensuring timely and accurate responses to inquiries and requests for information.
- Assist with the organization and management of board meetings, including preparation of agendas, materials, and minutes.
- Collaborate with the legal department on corporate transactions, including mergers, acquisitions, and corporate restructuring, to ensure compliance with corporate governance requirements.
- Conduct periodic reviews and assessments of the company's corporate governance practices and recommend improvements as needed.
- Maintain accurate records and documentation related to corporate governance activities.
✅ What we are looking for:
- Bachelor's degree in law, business administration, or a related field; JD or advanced degree preferred.
- Minimum of two (2) years of experience in corporate governance, legal compliance, or a related field.
- Candidates currently enrolled in the Bachelor of Laws or Master in Advocacy programs will also be considered if they are eager to learn and have good organizational skills.
- Strong understanding of corporate governance principles, regulations, and best practices.
- Excellent analytical, problem-solving, and decision-making skills.
- Exceptional attention to detail and organizational abilities.
- Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to diverse audiences.
- Ability to work independently and collaboratively in a fast-paced environment.
- Proficiency in Microsoft Office Suite and other relevant software applications.
- Professional certification in corporate governance or compliance (e.g., CGOCP, CCEP) is a plus.
- Ability to maintain confidentiality and handle sensitive information with discretion.
